Summary

The U.S.-Colombia Free Trade Agreement brings new opportunities to increase U.S. competitiveness and investment in the fast-growing and emerging market of Colombia. Alongside this FTA, U.S. enterprises doing business in Colombia have the option of establishing accessible business forms and structures such as the Colombian Simplified Stock Corporation (SAS).

The National Law Center for Inter-American Free Trade in collaboration with the CPA firm of Morrison, Brown, Argiz & Farra is pleased to present the Webinar: Incorporating in Colombia: A Guide for Foreign Businesses Including Tax Implications

Featured in this webinar is the author of Colombia's SAS law, Mr. Francisco Reyes. Mr. Reyes will speak to the practical implications of this business form for foreign businesses. Mr. Reyes will be joined by a team of CPAs from Morrison, Brown, Argiz & Farra that will discuss the tax implications of the SAS and outline possible methods that can be employed to fully enjoy the benefits and understand the risks of such a business form.

Professor Francisco Reyes

Francisco Reyes is the former Superintendent of Companies of Colombia. He was an active participant and draftsman of the 1995 and 2008 comprehensive reforms to the Colombian laws of Corporations and Bankruptcy. He also designed, drafted and implemented the Colombian law that introduced the Simplified Stock Corporation (sociedad por acciones simplificadas or SAS). In 2010, he presided over the governmental commission for the amendment of the Colombian Bankruptcy Law.

Mr. Reyes has a BLL from Javeriana University in Bogotá, an LL.M. from the University of Miami, School of Law, and a PhD in Law from the University of Tilburg. He also holds a diploma in Portuguese Culture from the University of Lisbon (Portugal). Mr. Reyes has been a Visiting Professor in several top universities in the Americas, Europe and Africa. He is the author of ten books in the fields of Business Associations and Bankruptcy written in English, Spanish and Portuguese. He has been part of the Colombian delegation before UNCITRAL.
